ARTICLE I: PREAMBLE AND DECLARATION OF SOFTWARE IDENTITY
1.1. NATURE OF INSTRUMENT: THIS DOCUMENT IS AN ELECTRONIC RECORD UNDER THE INFORMATION TECHNOLOGY ACT, 2000 AND THE INDIAN CONTRACT ACT, 1872. THIS DOCUMENT IS PUBLISHED IN ACCORDANCE WITH THE PROVISIONS OF RULE 3 (1) OF THE INFORMATION TECHNOLOGY (INTERMEDIARY GUIDELINES AND DIGITAL MEDIA ETHICS CODE) RULES, 2021.1.2. ABSOLUTE SOFTWARE DISCLAIMER: THE USER HEREBY ACKNOWLEDGES THAT TRUCOI IS A PURELY SOFTWARE-BASED TECHNOLOGY PLATFORM. THE COMPANY DOES NOT OWN, OPERATE, CONTROL, MAINTAIN, HIRE, OR MANAGE ANY PHYSICAL LOGISTICS ASSETS, INCLUDING MOTOR VEHICLES, TRUCKS, TRAILERS, WAREHOUSES, OR CARGO-HANDLING HARDWARE.
1.3. NON-CARRIER STATUS: THE COMPANY IS NOT A "COMMON CARRIER" UNDER THE CARRIAGE BY ROAD ACT, 2007. WE DO NOT PROVIDE TRANSPORTATION SERVICES; WE PROVIDE A DIGITAL CONDUIT FOR INDEPENDENT LOGISTICS PARTICIPANTS TO INTERACT.
1.4. CONSTRUCTIVE ACCEPTANCE: BY ACCESSING OR USING ANY PART OF THE PLATFORM, THE USER PROVIDES UNCONDITIONAL AND IRREVOCABLE CONSENT TO THESE TERMS. IF THE USER DOES NOT AGREE, THEY MUST IMMEDIATELY CEASE ALL USAGE.
ARTICLE II: ELIGIBILITY, ONBOARDING, AND USER COVENANTS
2.1. CAPACITY TO CONTRACT: THE USER REPRESENTS THAT THEY ARE AT LEAST 18 YEARS OF AGE AND POSSESS THE LEGAL CAPACITY TO ENTER INTO A BINDING CONTRACT UNDER THE INDIAN CONTRACT ACT, 1872.2.2. TRUTH IN DISCLOSURE: THE USER REPRESENTS THAT ALL INFORMATION PROVIDED—INCLUDING KYC DOCUMENTS, GSTIN, PAN, VEHICLE REGISTRATION, AND LICENSES—IS ACCURATE, VALID, AND LEGALLY OBTAINED.
2.3. OTP-BASED FIDUCIARY DUTY: THE USER IS SOLELY RESPONSIBLE FOR THE SECURITY OF THE 10-DIGIT MOBILE IDENTIFIER AND THE RESULTANT OTP SEQUENCES. ANY TRANSACTION PERFORMED VIA THE USER'S AUTHENTICATED SESSION IS LEGALLY ATTRIBUTABLE TO THE USER.
ARTICLE III: THE INTERMEDIARY "SAFE HARBOR" DOCTRINE
3.1. SECTION 79 IMMUNITY: AS AN INTERMEDIARY UNDER SECTION 79 OF THE IT ACT, 2000, THE COMPANY IS NOT LIABLE FOR ANY THIRD-PARTY CONTENT, LOADS, TRUCK POSTINGS, OR COMMUNICATIONS TRANSMITTED VIA THE PLATFORM.3.2. NO EDITORIAL CONTROL: THE COMPANY DOES NOT EXERCISE EDITORIAL CONTROL OVER THE DATA POSTED BY SHIPPERS, TRANSPORTERS, OR BROKERS. THE PLATFORM ACTS AS A PASSIVE CONDUIT ONLY.
ARTICLE IV: THE "ZERO-LIABILITY" DOCTRINE (ABSOLUTE PROTECTIONS)
4.1. PHYSICAL ASSET DISCLAIMER: THE COMPANY ASSUMES ABSOLUTE ZERO LIABILITY FOR ANY PHYSICAL LOSS, DAMAGE, THEFT, HIJACKING, ACCIDENTS, PILFERAGE, OR DESTRUCTION OF CARGO DURING TRANSIT.4.2. NO CONTRACT OF BAILMENT: AT NO POINT DOES THE COMPANY TAKE POSSESSION, TITLE, CUSTODY, OR CONTROL OF ANY PHYSICAL ASSETS. NO CONTRACT OF BAILMENT, POSSESSION, OR CARRIAGE IS EVER FORMED BETWEEN THE COMPANY AND ANY USER.
4.3. TELEMETRY AND GPS FAILURES: THE COMPANY VISUALIZES DATA FROM THIRD-PARTY AIS-140 HARDWARE OR MOBILE NETWORKS. WE DISCLAIM ALL LIABILITY FOR TRACKING LATENCY, SIGNAL "DARK ZONES," OR INACCURACIES IN GPS POSITIONING.
4.4. FORCE MAJEURE: THE COMPANY IS NOT LIABLE FOR SERVICE INTERRUPTIONS CAUSED BY ACTS OF GOD, WAR, PANDEMICS, INTERNET SHUTDOWNS, OR GOVERNMENTAL RESTRICTIONS.
ARTICLE V: VERIFICATION FALLIBILITY AND USER DUE DILIGENCE
5.1. NATURE OF VERIFICATION: THE "VERIFIED" BADGE ON THE PLATFORM INDICATES A DIGITAL CHECK OF SUBMITTED DOCUMENTS AT A SPECIFIC TIME. IT IS NOT A CHARACTER REFERENCE, FINANCIAL ENDORSEMENT, OR CERTIFICATION OF SAFETY.5.2. OBLIGATION TO VERIFY: THE USER IS MANDATED TO CONDUCT THEIR OWN INDEPENDENT DUE DILIGENCE BEFORE HANDING OVER CARGO OR MAKING PAYMENTS. THE COMPANY IS NOT LIABLE FOR THE RELIABILITY OR HONESTY OF ANY USER.
ARTICLE VI: FINANCIAL AND PAYMENT INDEMNITY
6.1. NON-ESCROW STATUS: THE COMPANY IS NOT A PAYMENT PROCESSOR, ESCROW AGENT, OR FINANCIAL GUARANTOR. ANY FREIGHT SETTLEMENTS ARE DIRECTLY BETWEEN THE USERS.6.2. NO LIABILITY FOR DEBT: THE COMPANY IS NOT LIABLE FOR NON-PAYMENT OF FREIGHT, DETENTION CHARGES, DEMURRAGE, OR FRAUDULENT CASH ADVANCES.
ARTICLE VII: THE "MAGIC LINK" PROTOCOL AND THIRD-PARTY PRIVACY
7.1. TRANSITORY TOKENS: THE PLATFORM UTILIZES EPHEMERAL LINKS TO ENABLE FRICTIONLESS DISPATCH. THE SENDER OF THE LINK (USER) IS SOLELY RESPONSIBLE FOR OBTAINING THE RECIPIENT'S CONSENT.7.2. DEEMED ACCEPTANCE: ANY PERSON CLICKING A PLATFORM-GENERATED LINK IS SUBJECT TO THESE TERMS VIA "CONSTRUCTIVE ACCEPTANCE."
ARTICLE VIII: INTELLECTUAL PROPERTY AND ANTI-SCRAPING
8.1. PROPRIETARY ARCHITECTURE: THE MONOREPO, @TRUCOI NAMESPACE PACKAGES, SVELTEKIT CODEBASE, AND DESIGN TOKENS ARE THE EXCLUSIVE PROPERTY OF THE COMPANY.8.2. ANTI-CRAWLING MANDATE: USERS ARE PROHIBITED FROM USING SCRAPERS, BOTS, OR AI TO EXTRACT DATA FROM THE PLATFORM. VIOLATIONS WILL RESULT IN CRIMINAL PROSECUTION UNDER SECTION 66 OF THE IT ACT.
ARTICLE IX: TERMINATION AND THE "SOFT-DELETE" MANDATE
9.1. RIGHT TO TERMINATE: THE COMPANY RESERVES THE UNFETTERED RIGHT TO TERMINATE USER ACCESS WITHOUT NOTICE FOR ANY SECURITY BREACH OR VIOLATION OF THESE TERMS.9.2. RETENTION FOR LEGAL AUDIT: AS AN INTERMEDIARY, THE COMPANY DOES NOT PRACTICE "HARD DELETION." DATA REMAINS IN A PERMANENT ARCHIVE TO SATISFY STATUTORY REQUIREMENTS OF INDIAN LAW ENFORCEMENT.
ARTICLE X: INDEMNIFICATION, DISPUTES, AND JURISDICTION
10.1. USER INDEMNITY: THE USER SHALL INDEMNIFY, DEFEND, AND HOLD HARMLESS THE COMPANY FROM ANY CLAIMS ARISING FROM USER-TO-USER INTERACTIONS.10.2. LIABILITY CAP: THE COMPANY'S TOTAL CUMULATIVE LIABILITY FOR ANY CLAIM SHALL NOT EXCEED INR 1,000.
10.3. EXCLUSIVE JURISDICTION: ALL DISPUTES ARE SUBJECT TO THE EXCLUSIVE JURISDICTION OF THE COURTS LOCATED AT THE COMPANY'S DIGITAL DOMICILE (PRIMARY OPERATING DISTRICT).
SCHEDULE A: SPECIFIC TERMS FOR SHIPPERS (TRUCOI-SHIP)
S1.1. SHIPPERS ARE RESPONSIBLE FOR CARGO INSURANCE AND PACKAGING.S1.2. SHIPPERS MUST ENSURE CARGO DOES NOT CONTAIN PROHIBITED OR CONTRABAND ITEMS.
SCHEDULE B: SPECIFIC TERMS FOR TRANSPORTERS (TRUCOI-TRUX)
S2.1. TRANSPORTERS WARRANT THAT ALL VEHICLES POSSESS VALID PERMITS AND INSURANCE.S2.2. DRIVERS MUST BE LEGALLY LICENSED AND COMPLIANT WITH TRAFFIC LAWS.
SCHEDULE C: SPECIFIC TERMS FOR BROKERS (TRUCOI-YAAR)
S3.1. BROKERS ACT AS FACILITATORS AND ARE SOLELY RESPONSIBLE FOR THEIR COMMISSION SETTLEMENTS.S3.2. BROKERS MUST ENSURE THAT BOTH SHIPPERS AND TRANSPORTERS IN THEIR NETWORK COMPLY WITH THESE TERMS.
